RESOLUTION
NO. 28-98
A RESOLUTION
OF THE WEST MIFFLIN SANITARY SEWER MUNICIPAL AUTHORITY,
ALLEGHENY COUNTY, COMMONWEALTH OF PENNSYLVANIA, AUTHORIZING A. H. WILLIAMS,
INC. TO SERVE AS UNDERWRITER ON A CONTEMPLATED FINANCING
BY THE AUTHORITY FOR THE PURPOSE OF REFUNDING PRIOR DEBT AND BORROWING FUNDS
FOR CAPITAL PROJECTS, APPOINTING PROFESSIONALS AND TO PROVIDING GENERAL AUTHORIZATIONS.
WHEREAS, the Authority is desirous of investigating possibility
of issuing guaranteed revenue bonds for the purpose of refunding the Authority=s Series of 1996 Guaranteed Revenue Bonds, as well as
issuing debt for capital projects, and
WHEREAS, the Authority wishes to retain the services
of A. H. Williams, Inc. to serve as Underwriter on the contemplated issue.
NOW, THEREFORE, BE IT RESOLVED AND IT IS HEREBY RESOLVED
as follows:
1. The Authority
hereby appoints A. H. Williams, Inc. as Underwriter on the contemplated issuance
of Guaranteed Revenue Bonds Series of 1998 for the purpose of refunding the
Series of 1996 Bonds and as well as to increase additional indebtedness for
capital purposes.
2. A. H.
Williams, Inc. is hereby authorized to present a proposal to the Authority=s board at the appropriate time for the issuance and
sale of Authority Guaranteed Revenue Bonds, Series of 1998 for the purpose
of refunding the Series of 1996 issue and to include in said proposal, a recommendation
with respect to additional capital borrowing.
3. The Authority
hereby appoints Ira Weiss, Esquire to serve as Bond Counsel in connection
with the issuance of the Series of 1998 Guaranteed Revenue Bonds.
4. A. H.
Williams, Inc. and Bond Counsel, as well as all other officials of the Authority
are hereby authorized, empowered, and directed to take all necessary steps
in the preparation of said proposal to the Board including taking all necessary
steps to secure the action to the Borough of West Mifflin including but not
limited to the Guaranty on said Bonds.
