WEST MIFFLIN SANITARY SEWER MUNICIPAL AUTHORITY

RESOLUTION

WHEREAS, the Authority desires to acquire from the Borough of West Mifflin the existing

sanitary sewer system of the Borough:

NOW, THEREFORE BE IT RESOLVED by the Board of the West Mifflin Sanitary Sewer

Municipal Authority that:

1. The acquisition and transfer of the sanitary sewer system from the Borough of West

Mifflin for consideration of $800,000.00 pursuant to the terms of an Asset Purchase Agreement with

the Borough, substantially in the form submitted to this Board with such changes as are acceptable

to the solicitor and the officers of the Authority, executing the same, is hereby approved.

2. The Chairman and Vice Chair of the Authority is hereby authorized to execute and the

Secretary or any member is authorized to attest and deliver the Asset Purchase Agreement on behalf

of the Authority.
